MEMBERSHIP – TERMS AND CONDITIONS - BookkeepingHelp.com®

Subscription to membership of BTA Professional Alliance and advertising on the BookkeepingHelp.com website constitutes an Agreement to the terms and conditions set forth below.

MEMBERSHIP:

By joining BTA Professional Alliance and placing an advertisement on the BookkeepingHelp.com website, you understand and agree to these TERMS AND CONDITIONS:

You (the member) and your business have requested a subscription for a business listing. Therefore, you must meet all federal, state, or provincial requirements governing your business entity and profession, including proper certification or licensure. You agree that the information provided by you and displayed on the BookkeepingHelp.com website is truthful and compliant.

You (the member) assume responsibility and agree to review the information posted on the BookkeepingHelp.com website about your business and will notify BTA Professional Alliance Corporation or BookkeepingHelp.com of any errors, omissions, or future changes required to maintain and meet all federal, state, or provincial requirements that govern your business entity or profession, including proper certification or licensure. In addition, if your credentials or the services you offer change, you agree to update your listing or notify BTA Professional Alliance Corporation and BookkeepingHelp.com of the changes within 30 days.

Upon activation of a listing on this website, membership fees are non-refundable. If a member cancels a listing, the annual listing will remain active through its expiration date, and the member will continue to have access unless the member requests to remove the listing. Members who cancel and are on the monthly payment plan must continue making monthly payments, or the member can pay the remainder of their annual fee. Their listing will remain active through its expiration date unless the member requests to remove the listing.

ERRORS AND DELAYS:

BTA Professional Alliance Corporation and BookkeepingHelp.com are not responsible for any errors or delays in responding to a directory listing or contact form caused by an incorrect email address provided by you or other technical problems beyond our reasonable control.

All members must respect the time and expertise of others and their purpose for advertising. Networking with members will be permitted within certain guidelines which will be forthcoming.

Any violation of these terms may result in immediate listing deactivation and loss of membership. Cancellations due to a policy violation are non-refundable. By joining BTA Professional Alliance, you agree to release BTA Professional Alliance Corporation and BookkeepingHelp.com and any of its corporate and associated companies from all damages, liabilities, and expenses (including attorneys’ fees) as a result of advertising, errors or omissions, or issues evolving from third party use of the BookkeepingHelp.com and BTAProfessionalAlliance.com websites or services by any business or individual.

BookkeepingHelp.com website is owned and operated by BTA Professional Alliance Corporation. Participating members provide their business listings.

BY ACCESSING THIS WEBSITE, YOU HAVE AGREED TO BE LEGALLY BOUND BY THESE TERMS AND CONDITIONS. You agree to use personal discretion concerning information found. Further, you agree to completely release BTA Professional Alliance Corporation and BookkeepingHelp.com and any of its corporate and associated companies from all damages, liabilities, and expenses (including attorneys’ fees) as a result of advertising, errors or omissions, or issues evolving from third party use of this site or services by any business or individual.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

DISPUTE RESOLUTION:

Any claim or controversy arising out of or relating to the use of BTA Professional Alliance Corporation and BookkeepingHelp.com’s services, or the goods or services provided by BTA Professional Alliance Corporation and BookkeepingHelp.com, or to any acts or omissions for which you may contend BTA Professional Alliance Corporation or BookkeepingHelp.com is liable, including but not limited to any claim or controversy (“Dispute”), shall be finally, and exclusively, settled by arbitration in Sonoma County, California. The arbitration shall be held before one arbitrator under the American Arbitration Association’s (“AAA”) commercial arbitration rules at that time. The arbitrator shall be selected pursuant to the AAA rules. Should no AAA rule regarding the selection of an arbitrator be in effect, the consumer shall select an arbitrator from a panel of arbitrators acceptable to BTA Professional Alliance Corporation and BookkeepingHelp.com. To begin the arbitration process, a party must make a written demand. Any judgment upon the award rendered by the arbitrators may be entered in any court of competent jurisdiction in California. The arbitrators shall not have the power to award damages in connection with any dispute in excess of actual compensatory damages. They shall not multiply actual damages or award consequential, punitive, or exemplary damages, and each party irrevocably waives any claim thereto.

The Agreement to arbitrate shall not be construed as an agreement to the joinder or consolidation of arbitration under this Agreement with arbitration of disputes or claims of any non-party, regardless of the nature of the issues or disputes involved. THIS AGREEMENT PROVIDES THAT ALL DISPUTES BETWEEN YOU AND BTA PROFESSIONAL ALLIANCE CORPORATION AND BOOKKEEPINGHELP.COM WILL BE RESOLVED BY BINDING ARBITRATION. YOU THUS GIVE UP YOUR RIGHT TO GO TO COURT TO ASSERT OR DEFEND YOUR RIGHTS. YOU ALSO GIVE UP YOUR RIGHT TO PARTICIPATE IN OR BRING CLASS ACTIONS. YOUR RIGHTS WILL BE DETERMINED BY NEUTRAL ARBITRATORS AND NOT A JUDGE OR JURY.

OTHER TERMS:

These Terms of Use shall be subject to and construed in accordance with the laws of the State of California, excluding its conflict of laws principles. If any part of these Terms of Use are determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth above, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision. The remainder of the Agreement shall continue in effect. A printed version of this Agreement and any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form. All rights not expressly granted herein are reserved.

BookkeepingHelp.com® is a registered trademark of BTA Professional Alliance Corporation, a California corporation. All other trademarked products and entities mentioned are registered trademarks or trademarks of their respective companies.

All materials, including, without limitation, graphics, images, HTML, codes, multimedia clips, Java codes, logos, button icons, banners, and software contained in this site are the copyrighted property of BTA Professional Alliance Corporation and BookkeepingHelp.com or its affiliated companies or third party licensors. All trademarks, service marks, and trade names are proprietary to BTA Professional Alliance Corporation and BookkeepingHelp.com or its affiliates. Unauthorized use of the materials will violate intellectual property rights. All rights not expressly granted in these Terms of Use are reserved to BTA Professional Alliance Corporation and BookkeepingHelp.com, its affiliated companies, or third-party licensors, whichever is the owner of any specific material. No other rights or licenses, whether expressed or implied, arising from estoppel or otherwise, are conveyed or intended by these Terms of Use. As such, no material from this site may be copied, reproduced, republished, uploaded, posted, transmitted, or distributed in any way. Using such material on any other website or computer environment is strictly prohibited.

BTA Professional Alliance Corporation and BookkeepingHelp.com reserves the right at any time and in its sole discretion to change or revoke any authorization granted above. In such circumstances, or if you violate any of the provisions of these Terms of Use, your permission to use the materials automatically terminates, and you must immediately destroy any paper or electronic copies you have made of the materials.

Nothing contained in this site should be construed as granting any license or right to use any trademark, logo, trade name, or design displayed on this site without the written permission of BTA Professional Alliance Corporation and BookkeepingHelp.com or the respective owner of the trademark.

USE OF THIRD PARTY SERVICES:

You agree that BTA Professional Alliance Corporation and BookkeepingHelp.com offer access to a group of advertisers and members whom BTA Professional Alliance Corporation and BookkeepingHelp.com do not employ. BTA Professional Alliance Corporation and BookkeepingHelp.com are not responsible or liable for any acts or omissions created or performed by these third-party advertisers and members.
